1) Scope and Applicability
These General Terms and Conditions (GTC) apply to all business relationships between Ruta Group Kacper Ruta (hereinafter "Provider") and the customer (hereinafter "Customer") in connection with the use of the RechNex platform.
RechNex is a B2B (business-to-business) SaaS platform designed exclusively for use by businesses, sole proprietors, and professional organizations. This service is not intended for consumers. By registering, the Customer confirms that they are acting in a professional or commercial capacity.
- These GTC apply exclusively; conflicting terms of the Customer are not recognized.
- The Provider reserves the right to refuse registration without stating reasons.
2) Contract Formation
The contract is formed when the Customer creates an account on the RechNex platform and accepts these GTC. Account creation constitutes a binding agreement between the Customer and the Provider.
The Customer activates a paid subscription by selecting a plan and completing the checkout process via Stripe. Free-tier usage is governed by the same terms, with limitations as specified in the pricing page.
3) Services and Availability
The Provider operates RechNex as a cloud-based SaaS platform for creating, managing, and sending Swiss QR invoices, documents, and reminders. The platform is hosted exclusively in Switzerland (Infomaniak, Geneva).
The Provider strives for a platform availability of 99% on an annual average (best effort). Scheduled maintenance windows are excluded from this calculation. The Provider reserves the right to modify, extend, or discontinue individual features at any time, provided core functionality is maintained.
- No guarantee of uninterrupted or error-free operation is given.
- Temporary service interruptions for maintenance or updates do not constitute a breach of contract.
4) Customer Obligations
The Customer is obligated to use RechNex exclusively for lawful purposes and in compliance with all applicable laws, including Swiss tax and commercial regulations. The Customer is responsible for the accuracy and completeness of all data entered into the platform.
The Customer must keep their access credentials confidential and is liable for all activities conducted under their account. In case of suspected unauthorized access, the Customer must notify the Provider immediately at info@rechnex.ch.
- Abuse of the platform (e.g., fraud, spam, generating fictitious invoices) is strictly prohibited.
- The Customer is responsible for ensuring their billing and company data are accurate and current.
- Multiple accounts for the same legal entity require prior written consent from the Provider.
5) Pricing and Payment Terms
All prices are listed on the RechNex pricing page and are exclusive of applicable taxes (MWST/VAT) unless otherwise stated. Payment is processed exclusively via Stripe. By subscribing, the Customer authorizes recurring charges according to the selected billing cycle (monthly or annual).
In case of payment default (Verzug), the Provider reserves the right to suspend access to the platform until all outstanding amounts are settled. Invoices are due immediately upon issuance. A reminder fee of CHF 20.00 may be charged for each overdue notice.
- Price changes are communicated with at least 30 days' notice before the next billing cycle.
- No refunds are issued for partial billing periods or unused features.
- The Provider reserves the right to adjust prices annually.
6) Data and Security
The processing of personal data is governed by the RechNex Privacy Policy, which is an integral part of these GTC. The Provider processes data in compliance with the Swiss Federal Act on Data Protection (nDSG) and, where applicable, the GDPR.
All data entered by the Customer remains the intellectual property of the Customer. The Provider acts solely as a data processor on behalf of the Customer. Upon termination of the contract, the Customer may request data export. After a grace period of 30 days, all Customer data will be permanently deleted.
- Data is hosted exclusively in Switzerland (Infomaniak, Geneva).
- The Provider implements industry-standard security measures including encryption, strict multi-tenant isolation, and access controls.

7) Intellectual Property
All intellectual property rights in and to the RechNex platform — including but not limited to source code, design, trademarks, logos, documentation, and user interface — are and remain the exclusive property of Ruta Group Kacper Ruta.
The Customer is granted a non-exclusive, non-transferable, revocable license to use the RechNex platform for the duration of the active subscription, solely for the Customer's own business purposes. This license does not include any right to sublicense, modify, reverse-engineer, or create derivative works based on the platform.
8) Limitation of Liability
To the maximum extent permitted by Swiss law, the Provider's total liability for all claims arising out of or in connection with the use of RechNex is limited to the total subscription fees paid by the Customer during the 12 months immediately preceding the claim.
The Provider is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profit, loss of data, business interruption, or reputational damage. This limitation applies regardless of the legal theory under which liability is asserted.
- The Provider is not liable for damages resulting from force majeure, third-party service outages (e.g., Stripe, Infomaniak), or the Customer's own negligence.
- The Customer is solely responsible for verifying the correctness of generated invoices and documents before issuing them to third parties.
9) Term and Termination
Subscriptions are entered into for the selected billing period (monthly or annual) and renew automatically at the end of each period unless cancelled before the renewal date. Cancellation can be performed at any time through the account settings or by contacting info@rechnex.ch.
Upon termination, the Customer retains read-only access to their data for 30 days. After this grace period, all Customer data — including documents, invoices, client records, and uploaded files — will be permanently and irrevocably deleted. The Provider is not obligated to maintain backups beyond this period.
- The Provider may terminate the contract immediately for cause (e.g., abuse, payment default exceeding 60 days, violation of these GTC).
- Free-tier accounts inactive for more than 12 months may be deleted without notice.
10) Amendments to These Terms
The Provider reserves the right to amend these GTC at any time. Material changes will be communicated to the Customer via email at least 30 days before they take effect.
If the Customer does not object in writing within 30 days of receiving the notification, the amended terms are deemed accepted. If the Customer objects, the Provider may terminate the contract at the end of the current billing period.
11) Governing Law and Jurisdiction
These GTC and all legal relationships between the Provider and the Customer are governed exclusively by Swiss law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and any conflict of law provisions.
The exclusive place of jurisdiction for all disputes arising from or in connection with these GTC is Luzern, Switzerland. The Provider retains the right to bring proceedings at the Customer's domicile.
